Terms of Service

Version 2026-10-11 · effective 2026-10-11 · SIG Advisory LLC

1. Who we are. Exitr is operated by SIG Advisory LLC ("we"). These terms are a contract between us and the organization that creates an account ("you"). The person who accepts them confirms they can bind that organization.

2. What the service is. We provide information about businesses compiled from public and licensed sources, plus scores and analysis. It is an information service only. We are not a broker, agent, investment adviser, or advisor on any transaction. We do not introduce buyers and sellers, contact businesses on your behalf, or take part in or get paid on any deal.

3. Not advice; no guarantees. Scores, signals and summaries are estimates and opinions based on available data. They may be incomplete, out of date or wrong. You decide what to do with them and are responsible for your own research and decisions. The service is provided "as is" and "as available," without warranties of any kind, including accuracy, completeness, fitness for a purpose, or non-infringement, to the fullest extent the law allows.

4. Your account. You must use a work email and give accurate information. One free sample and one free trial per organization. You are responsible for everyone you invite and for keeping logins secure. Tell us right away about any unauthorized use.

5. How you may use the data. We grant you a limited, non-exclusive, non-transferable license, for the term of your subscription, to use the service and exported data only for your own organization's internal acquisition research. You may not: resell, sublicense, publish or share the data outside your organization; use it to build or train a competing product or any AI model; scrape, crawl, bulk-download or reverse engineer the service; get around limits, quotas or security; share logins; or use the data to harass anyone or in a way that breaks any law, including email and privacy laws. Exports contain marker records that identify the account that exported them.

6. Your outreach is your responsibility. If you contact any business you find through the service, you are responsible for complying with all laws that apply, including anti-spam, privacy and telemarketing laws, and you will indemnify us for claims arising from your outreach.

7. Fees, trials and renewals. Paid plans renew automatically each month or year until cancelled. Free trials convert to the paid plan shown at signup unless you cancel before the trial ends; we will email a reminder before the first charge. You can cancel anytime in your settings; cancellation takes effect at the end of the current paid period. Prices may change with at least 30 days' notice before your next renewal. Taxes are your responsibility where applicable.

8. Refunds. Your first payment on the Founding plan is refundable if you ask within 30 days of that charge. This applies once per organization, company domain and payment card. Other fees are non-refundable except where the law requires.

9. Suspension and termination. We may suspend or end access immediately if you break these terms, fail to pay, misuse the data, or create security or legal risk. On termination your license ends and you must delete exported data, except where the law requires you to keep it.

10. Our rights. We own the service, the software, the database, scores, methods and all improvements. You own your notes and buy-box settings ("your content"). You let us process your content to provide the service, and to create aggregated, anonymized insights that do not identify you, which we may use to improve the service. Suggestions you send us may be used freely.

11. Confidentiality. We keep your content confidential and only use it as described here and in the privacy policy. You keep non-public parts of the service confidential.

12. Limitation of liability. To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, deals or data. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. These limits do not apply to your breach of section 5 or your indemnity obligations.

13. Indemnity. You will defend and indemnify us against claims arising from your use of the service or data, your outreach, or your breach of these terms.

14. Third-party services. Payments are processed by Stripe and emails sent through third-party providers; their terms apply to their services.

15. Changes. We may update these terms; material changes take effect 30 days after notice by email or in the app. Continuing to use the service means you accept the update.

16. Disputes. These terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Disputes will be resolved by binding individual arbitration in Connecticut, except that either party may seek an injunction in court to protect its intellectual property or data. No class or representative actions.

17. General. These terms are the entire agreement. If any part is unenforceable, the rest still applies. You may not assign these terms without our consent; we may assign them in a merger or sale. Neither party is responsible for delays caused by events outside its reasonable control. Contact: info@exitr.ai.
